GENERAL TERMS AND CONDITIONS

Effective Date: November 1, 2026

1. ABOUT THE PLATFORM AND THESE TERMS
1.1 Acceptance of These Terms

1.1.1 These Terms and Conditions (“Terms”) govern access to and use of the Platform and the services, features, tools, content and programmes made available through the Platform.

1.1.2 By creating an account, accessing or using the Platform, booking or participating in tutoring, purchasing a Service, submitting Content, participating in a referral programme, using messaging or group-chat features, or otherwise using the Platform, you agree to be bound by these Terms and any additional terms expressly incorporated into them.

1.1.3 If you do not agree to these Terms, you must not create an account, access or use the Platform, or use any Service to which these Terms apply.

1.1.4 If you use the Platform on behalf of another person, including a child or Student, you represent that you are authorized to do so and, to the extent permitted by law, have authority to accept these Terms on that person's behalf.

1.1.5 Where a Student is registered by a Parent or Guardian, the Parent or Guardian completing or authorizing the registration and recognized by the Platform as the person responsible for decisions concerning the Student's use of the Platform is the Registering Parent/Guardian, as further provided in these Terms.

1.1.6 A person who makes or assists with a payment for a Student's Services does not, solely by making or assisting with that payment, become the Registering Parent/Guardian or acquire parental, guardianship or decision-making authority over the Student.

1.2 Definitions

1.2.1 In these Terms:

1.2.1.1 “Platform” means VAZAKI, including its website, applications, online learning environment, communication systems, dashboards, tools, features, Content and related digital services.

1.2.1.2 “User” means any person who accesses or uses the Platform, including a Student, Parent or Guardian, Tutor or Referral Agent.

1.2.1.3 “Student” means a person who uses or receives tutoring or educational services through the Platform.

1.2.1.4 “Parent or Guardian” means a parent, legal guardian or other person legally authorized to act on behalf of a Student.

1.2.1.5 “Registering Parent/Guardian” means the Parent or Guardian who completes or authorizes the registration of a Student and is recognized by the Platform as the person authorized to make decisions concerning the Student's use of the Platform, subject to applicable law and any different arrangement expressly accepted by the Platform.

1.2.1.6 “Tutor” means a person approved or permitted by the Platform to provide tutoring services through the Platform.

1.2.1.7 “Referral Agent” or “Affiliate” means an approved participant in the Platform’s referral programme. The term “Affiliate” is used on the Platform to refer to a Referral Agent, and both terms shall have the same meaning under these Terms and Conditions.

1.2.1.8 “Content” means information, text, messages, reviews, ratings, questions, assignments, images, documents, audio, video, educational materials, profile information and other material submitted, uploaded, generated or otherwise made available by a User through the Platform.

1.2.1.9 “Qualifying Completed Lesson” means a tutoring lesson that satisfies the requirements set out in Section 6 for purposes of Tutor review eligibility.

1.2.1.10 “Platform Services” means the technology, administrative, communication, booking, payment, learning and other services made available by the Platform.

1.2.1.11 “Tutor Services” means tutoring or educational services provided by a Tutor through the Platform.

1.2.1.12 “User Content” means any text, images, videos, audio recordings, documents, assignments, reviews, messages, or other materials or information that a User submits, uploads, shares, or otherwise makes available through or in connection with the Platform.

1.2.1.13 “Authorized Persons” means individuals or entities who are expressly authorized by the Platform, or whose access is expressly permitted under these Terms or the applicable Service, to access or use particular Platform functions, systems, information, User Content, or Personal Data for a legitimate purpose connected with the provision, administration, security, support, or authorized use of the Services.

Authorized Persons may include, as applicable:

1.2.1.13.1 the Platform’s employees, administrators, officers, contractors, consultants, and other personnel acting on its behalf;

1.2.1.13.2 Tutors, Students, Parents/Guardians, and other Users, but only to the extent that their access is expressly permitted by the Platform, their account role, the applicable Service, or these Terms;

1.2.1.13.3 third-party service providers, processors, contractors, and other persons engaged by or on behalf of the Platform to provide, maintain, secure, or support the Services;

1.2.1.13.4 persons acting on behalf of a User where the Platform has expressly approved or enabled such access; and

1.2.1.13.5 other persons expressly authorized by the Platform or otherwise permitted under these Terms.

An Authorized Person may access or use only those systems, information, User Content, Personal Data, and Platform functions for which that person has been granted authorization and only for the purposes for which such access has been granted. Being an Authorized Person does not, by itself, confer any ownership or other rights in the information or content accessed.

The Platform may restrict, modify, suspend, or revoke a person's authorization at any time where reasonably necessary for security, privacy, safeguarding, legal, operational, or other legitimate purposes.

1.3 Platform Role

1.3.1 The Platform may facilitate the discovery, booking, scheduling, payment, communication, delivery and administration of online tutoring and educational services.

1.3.2 The Platform may also provide educational resources, inquiry-based learning tools, AI-assisted learning tools, messaging, group chats, reviews, referral programmes and other features or services.

1.3.3 Unless expressly stated otherwise, the Platform is not itself the individual Tutor providing a particular tutoring session.

1.3.4 Tutors remain responsible for the Tutor Services they provide, subject to these Terms and any applicable Tutor Terms, policies and requirements.

1.3.5 The Platform may perform administrative, technical, safety, verification, moderation, payment, dispute-resolution and other functions in connection with Tutor Services without thereby assuming responsibility for every act or omission of a Tutor.

1.4 Electronic Agreements and Acceptance

1.4.1 Agreements between the Platform and a User may be formed electronically.

1.4.2 Electronic acceptance, including selecting an acceptance button, checkbox or other designated mechanism, constitutes acceptance of these Terms or the applicable transaction, as relevant.

1.4.3 Before a User enters into a paid transaction, the Platform may provide the applicable transaction information, price, fees, material terms and other information required by law.

1.4.4 Where required by law, the Platform will provide an express opportunity to accept or decline the applicable agreement and to identify and correct errors before the agreement is entered into.

1.4.5 The Platform may provide a copy or record of the applicable agreement or transaction electronically through the User's account, by email or by another legally permitted method.

1.4.6 Users are responsible for reviewing the information presented to them before submitting or completing a transaction and for correcting any errors or inaccuracies identified before acceptance or completion of the transaction.

1.5 Additional Terms

1.5.1 Certain Services, programmes or features may be governed by additional terms, rules or policies.

1.5.2 Additional terms may include Tutor Terms, Tutor Agreements, Referral Programme Rules, Service-specific cancellation or refund policies, promotional terms, privacy notices or policies, safeguarding requirements, AI-related rules, or feature-specific rules.

1.5.3 Where additional terms expressly apply to a particular Service, programme or feature, they form part of the agreement governing that Service, programme or feature.

1.5.4 Section 26 governs conflicts between these Terms and applicable additional terms.

2. ELIGIBILITY
2.1 General Eligibility

2.1.1 You must satisfy any age, legal-capacity, verification and other eligibility requirements applicable to the Platform, your account and the particular Service or feature you seek to use.

2.1.2 Certain Services, features, activities or account types may be subject to additional age, verification, authorization or other eligibility requirements.

2.1.3 The Platform may request information or documentation reasonably necessary to verify a User's eligibility, identity, authorization or compliance with applicable eligibility requirements.

2.1.4 Users must provide accurate, current and complete information reasonably necessary to establish their eligibility and must not misrepresent or conceal information material to their eligibility.

2.2 Students Who Are Minors

2.2.1 For purposes of these Terms, a Student is a minor if the Student is under eighteen (18) years of age, unless applicable law provides otherwise.

2.2.2 Where a Student is a minor, the Student's account may not be activated for tutoring or other Student Services until the Platform has received and recorded the required authorization from a Parent or Guardian in accordance with this Section.

2.2.3 The Parent or Guardian providing authorization must provide the information reasonably required by the Platform to identify themselves and state their relationship to, or legal authority to act for, the Student.

2.2.4 Where a Student is registered by a Parent or Guardian, that Parent or Guardian will be recognized as the Registering Parent/Guardian, subject to the Platform's verification and applicable law.

2.2.5 The Platform may require the Student registration process to begin with the creation of a Student account in a pending or otherwise inactive status until the required Parent or Guardian authorization process has been completed.

2.2.6 As part of the authorization process, the Platform may require the Parent or Guardian to provide their name, email address, relationship to the Student and other information reasonably necessary for verification and administration of the Student account.

2.2.7 The Platform may send a verification email, link, code or other verification mechanism to the Parent or Guardian's provided contact information.

2.2.8 The Parent or Guardian must complete the verification process specified by the Platform before providing the required authorization.

2.2.9 Before providing authorization or consent, the Parent or Guardian may be required to review applicable information, including these Terms, the Privacy Policy or Privacy Notice, information concerning the Student's use of the Platform and information concerning the processing of the Student's Personal Data.

2.2.10 The Parent or Guardian must actively confirm their relationship to, or legal authority to act for, the Student and provide the authorization or consent required by the Platform.

2.2.11 The authorization or consent process may require the Parent or Guardian to actively select or complete designated authorization or consent mechanisms, including required checkboxes, declarations, electronic signatures, confirmations or other reasonable mechanisms.

2.2.12 The Platform may maintain records of the Parent or Guardian's authorization, relationship or authority declaration, verification steps, consent or other relevant records, including the date, time, applicable Terms or Privacy Notice version and method used, subject to Section 17 and applicable law.

2.2.13 The Platform will activate the Student account after the required authorization and verification steps have been completed and recorded, subject to any other applicable eligibility requirements.

2.2.14 Payment for a Service or Subscription does not, by itself, establish that the person making the payment is the Student's Parent or Guardian, the Registering Parent/Guardian, or that the person has provided any authorization or consent required under these Terms or applicable law.

2.2.15 A person who makes or assists with a payment for a Student may be different from the Registering Parent/Guardian. Payment records may be used by the Platform for payment administration and other legitimate purposes but do not, by themselves, confer parental, guardianship or decision-making authority over the Student.

2.2.16 The Registering Parent/Guardian is the person recognized by the Platform as authorized to make decisions concerning the Student's use of the Platform, subject to applicable law and any different arrangement expressly accepted by the Platform.

2.2.17 The Platform may use reasonable and proportionate measures to verify the identity, relationship or authority of a Parent or Guardian, taking into account the nature of the Service, the circumstances and applicable law.

2.2.18 Where the Platform reasonably determines or has reason to believe that information concerning a Student's age, identity, Parent or Guardian, relationship or authorization is false, incomplete or unreliable, the Platform may request additional verification and may restrict, suspend or limit the relevant Student account or Services while the matter is being verified.

2.2.19 A User must not provide false or misleading information, impersonate a Parent or Guardian, or circumvent or attempt to circumvent any Student-account authorization, verification, consent, age or safeguarding requirement applicable to the Platform.

2.2.20 Where a Student is under eighteen (18) years of age, the Student's access to and use of the Platform must additionally comply with any parental, guardian, consent, age-verification, safeguarding or other requirements applicable to minor Students under applicable law and the Platform's policies.

2.3 Eligibility Enforcement

2.3.1 The Platform may verify and enforce eligibility requirements in accordance with these Terms and applicable law, including through the measures described in Section 22.

2.3.2 Where an applicable eligibility, authorization or verification requirement has not been satisfied, the Platform may decline to activate an account or may restrict, suspend or limit access to the relevant account, Service or feature until the requirement has been satisfied.

2.3.3 The Platform may take reasonable measures to protect the safety, privacy, security and legitimate interests of Students and other Users when determining or enforcing eligibility requirements.

2.3.4 Nothing in this Section limits any rights or protections that cannot lawfully be excluded or restricted under applicable law.

3. USER ACCOUNTS
3.1 Account Creation

3.1.1 Certain features, Services or transactions may require a User to create and maintain an account.

3.1.2 Users must provide accurate, complete and current information when creating an account and must not knowingly provide materially false or misleading information.

3.1.3 Users must promptly update information associated with their account where that information becomes inaccurate, incomplete or outdated, or otherwise provide updated information when requested by the Platform. Where an account is managed by a Registering Parent/Guardian on behalf of a Student, the Registering Parent/Guardian remains responsible for information that the Platform requires to be provided or maintained by the Parent/Guardian, while the Student remains responsible for information the Student is permitted to provide or update directly.

3.1.4 Users may create, maintain and use only those types of accounts for which they are eligible under these Terms and any applicable Service-specific requirements.

3.1.5 Where permitted or required by the Platform, a Student's account may be created, controlled or managed by a Parent/Guardian on the Student's behalf.

3.1.6 Where a Parent/Guardian creates or authorizes an account for a Student, that Parent/Guardian will be recognized by the Platform as the Registering Parent/Guardian, subject to applicable law and any different arrangement expressly accepted by the Platform.

3.1.7 The Registering Parent/Guardian is responsible for ensuring that the information provided in connection with the Student's registration and authorization is accurate, complete and current, including information concerning the Student's identity, the Registering Parent/Guardian's relationship with and authority concerning the Student, and any other information required from the Registering Parent/Guardian. Where the Student is permitted to provide or update information directly, the Student is responsible for ensuring that the information they provide is accurate, complete and current.

3.2 Account Security

3.2.1 Users are responsible for taking reasonable steps to protect the security of their account, login credentials and other authentication information.

3.2.2 Users must not share their account credentials with another person unless the Platform expressly permits such sharing or access.

3.2.3 Users must promptly notify the Platform if they become aware of or reasonably suspect unauthorized access to, compromise of, or misuse of their account or credentials.

3.2.4 Users must take reasonable steps to prevent unauthorized persons from accessing or using their account.

3.3 Account Integrity

3.3.1 Users must not create or use an account using a false identity, impersonate another person, or misrepresent their authority to act on behalf of another person.

3.3.2 Users must not create or maintain multiple accounts for the purpose of evading Platform restrictions, manipulating Platform systems, obtaining improper benefits, or otherwise circumventing these Terms or applicable Service requirements.

3.3.3 A User must not access or use another person's account unless the User is expressly authorized to do so by the Platform or such access is otherwise permitted under these Terms or the applicable Service.

3.4 Account Enforcement

3.4.1 The Platform's rights to restrict, suspend or terminate an account are governed by Section 22.

3.4.2 Where the Platform reasonably considers that an account presents a material risk to the security, privacy, safeguarding, integrity or proper operation of the Platform or its Services, the Platform may take the measures permitted under Section 22.

4. TUTORS
4.1 Tutor Participation

4.1.1 A person may provide tutoring through the Platform only after satisfying applicable approval, verification and onboarding requirements.

4.1.2 The Platform may require Tutors to complete additional verification, screening or onboarding requirements from time to time.

4.1.3 Tutors must provide and maintain accurate, current and complete information concerning their identity, qualifications, certifications, experience, subjects, availability and services.

4.2 Tutor Services

4.2.1 Tutors must provide tutoring in accordance with the applicable booking, including the agreed subject, duration, format, scheduled time and other applicable requirements.

4.2.2 Tutors must conduct lessons professionally, respectfully and appropriately having regard to the Student's age, educational level and circumstances.

4.2.3 Tutors must comply with the applicable requirements of Sections 7, 8, 9, 14 and 18 when communicating with Students or providing Tutor Services.

4.2.4 Tutors must provide the services they have agreed to provide and must not materially misrepresent the nature, scope or availability of those services.

4.3 Tutor Qualifications and Representations

4.3.1 Tutors must not falsely represent or materially misstate their qualifications, certifications, experience, academic achievements, professional status or other credentials.

4.3.2 Tutors may be required to provide supporting information or documentation concerning qualifications, identity, experience or other representations made to the Platform.

4.3.3 Any verification or approval performed by the Platform does not, by itself, constitute a guarantee of a Tutor's qualifications, suitability, performance or academic results.

4.3.4 Tutors must not guarantee academic results unless expressly authorized by the Platform and legally permitted.

4.4 Tutor Conduct

4.4.1 Tutors must comply with applicable safety, safeguarding, academic-integrity, privacy, communication, payment and other Platform requirements when providing Tutor Services.

4.4.2 Tutors must not engage in conduct that is abusive, exploitative, harassing, discriminatory, threatening, sexually inappropriate or otherwise unsuitable in connection with a Student or tutoring relationship.

4.4.3 Tutors must not communicate or otherwise establish contact with Students or Parents/Guardians outside the Platform, including through personal telephone numbers, WhatsApp, SMS, email, Telegram, Signal, social media or other external communication channels.

4.4.4 Where the Platform expressly authorizes a third-party video or other tutoring system for delivery of a scheduled Tutor Service, the Tutor may use that system only within the scope authorized by the Platform. The Tutor must not use such system to exchange personal contact information, establish an unauthorized communication channel, arrange independent tutoring, make or receive off-platform bookings or payments, or otherwise circumvent Platform safety, communication, booking or payment requirements.

4.4.5 Tutors must not circumvent Platform safety, communication, booking or payment controls, including by moving tutoring, booking or payment arrangements off the Platform in violation of Section 8.

4.5 Tutor Reviews

4.5.1 Tutor reviews and ratings are governed by Section 6.

4.5.2 Tutors must not manipulate, fabricate, purchase, solicit in a misleading manner or otherwise improperly influence reviews or ratings.

5. STUDENT AND PARENT/GUARDIAN RESPONSIBILITIES
5.1 Student Responsibilities

5.1.1 Students must provide accurate, current and complete information when using the Platform and must update such information where reasonably necessary.

5.1.2 Students are responsible for making reasonable efforts to attend and participate in booked tutoring lessons and to communicate promptly where they are unable to attend or participate.

5.1.3 Students must use the Platform, Tutor Services, learning materials, messaging features and authorized third-party systems in accordance with these Terms and any applicable Service-specific requirements.

5.1.4 Students must treat Tutors, Parents or Guardians, other Students and other Users respectfully and must not engage in abusive, threatening, harassing, discriminatory or otherwise prohibited conduct.

5.1.5 Students are responsible for maintaining the equipment, internet connection, software and other technical resources reasonably necessary to access the Platform and participate in online Tutor Services, unless the Platform expressly provides otherwise.

5.1.6 Students must comply with applicable academic integrity requirements and must not cheat, plagiarize, fabricate academic work or otherwise obtain an unauthorized academic advantage.

5.1.7 Students must submit each assignment given by a Tutor within twelve (12) hours after the assignment is provided, through the designated Platform feature or method, unless the Platform expressly authorizes a different deadline or requirement for the relevant assignment.

5.2 Parent/Guardian Responsibilities

5.2.1 Where a Student is a minor or otherwise requires assistance, the Registering Parent/Guardian is responsible for providing appropriate supervision, support and assistance in connection with the Student's use of the Platform.

5.2.2 A Registering Parent/Guardian must provide accurate, current and complete information where required in connection with the Student's account, bookings, payments, Services or other Platform activities for which the Registering Parent/Guardian is responsible.

5.2.3 A Parent or Guardian may assist a Student in accessing, using or managing the Student account where authorized by the Platform and applicable law.

5.2.4 Where a Registering Parent/Guardian manages or assists with bookings, communications, payments or other Platform activities on behalf of a Student, the Registering Parent/Guardian remains responsible for acting honestly, lawfully and in accordance with these Terms.

5.2.5 A Registering Parent/Guardian must take reasonable steps to support the Student's compliance with applicable safety, safeguarding, academic integrity and Platform requirements.

5.2.6 A Parent or Guardian must not use the Student's account or Platform access to impersonate another person, circumvent Platform restrictions or engage in conduct prohibited by these Terms.

5.3 Academic and Learning Responsibilities

5.3.1 Students remain responsible for their own academic work, learning decisions and compliance with the academic, assessment, examination and course requirements applicable to them.

5.3.2 The Platform and Tutor Services are intended to support learning and education and do not guarantee particular grades, examination results, qualifications, admissions, employment outcomes or other academic or professional results.

5.3.3 Educational outcomes may depend on factors including the Student's participation, preparation, effort, prior knowledge, learning needs, assessment requirements and circumstances outside the Platform's control.

5.3.4 Students must use tutoring, learning materials and AI-assisted learning features consistently with any applicable academic, assessment, examination, institutional or Tutor requirements.

5.3.5 Where academic or institutional rules require disclosure or restriction of AI-assisted work, Students are responsible for complying with those requirements, as further provided in Section 9.

5.3.6 Students must submit any assignment or learning activity assigned by a Tutor through the Platform within twelve (12) hours after it is given through the designated Platform feature or method, unless the Platform expressly authorizes a different deadline or requirement for the relevant assignment.

5.4 Safety and Safeguarding

5.4.1 Students and Parents or Guardians must comply with the safety and safeguarding requirements applicable to their use of the Platform and Tutor Services, including the requirements set out in Section 18.

5.4.2 Parents or Guardians are responsible for taking reasonable steps to ensure that a minor Student uses the Platform and participates in Tutor Services in an age-appropriate and reasonably safe manner, taking into account the Student's circumstances and any applicable Platform requirements.

5.4.3 Students and Parents or Guardians must promptly report conduct, communications, circumstances or incidents that they reasonably believe may create a serious safety, safeguarding or security concern.

5.4.4 Nothing in this Section limits any additional safety, safeguarding, reporting or protective requirements set out elsewhere in these Terms.

6. TUTOR REVIEWS AND RATINGS
6.1 Eligibility to Submit Reviews and Ratings

6.1.1 Only a Student account that has completed at least two (2) Qualifying Completed Lessons with the same Tutor through the Platform may submit a review or rating for that Tutor.

6.1.2 A Parent or Guardian may assist a Student with accessing the Student account and preparing or submitting a review or rating where the Platform permits such assistance.

6.1.3 A Parent or Guardian who participated in, attended, or supervised a lesson may provide information or assistance in preparing a review or rating through the eligible Student account, provided that the review or rating genuinely reflects the relevant experience and complies with these Terms.

6.1.4 A Parent or Guardian account does not independently create eligibility to submit a review or rating. Eligibility is determined by the relevant Student account and the Student's Qualifying Completed Lessons.

6.1.5 The Platform may determine review eligibility using account records, lesson records, and other information reasonably available to it.

6.2 Qualifying Completed Lessons

6.2.1 A "Qualifying Completed Lesson" is a lesson arranged through the Platform that satisfies the requirements of this Section.

6.2.2 Unless an applicable exception applies, a lesson qualifies where:

6.2.2.1 it was booked through the Platform;

6.2.2.2 the lesson was actually conducted;

6.2.2.3 the lesson was not cancelled in circumstances that prevent it from being treated as completed;

6.2.2.4 the applicable requirements for the lesson were substantially fulfilled; and

6.2.2.5 the Platform has recorded the lesson as completed or otherwise reasonably determines, based on available records and other relevant evidence, that the lesson was genuinely completed.

6.2.3 The submission or completion of an assignment, exercise, or other activity does not by itself determine whether a lesson was completed unless the Platform has expressly designated that activity as a condition of completion for the applicable Service.

6.2.4 The Platform may treat a lesson as qualifying even where an assignment, exercise, or other completion requirement is missing where, for example, the Tutor failed to provide it, it was not applicable, a technical issue prevented completion, the Platform determines that the requirement should not apply, or other circumstances reasonably establish that the lesson was genuinely completed.

6.2.5 In determining whether a lesson was genuinely completed, the Platform may consider booking records, attendance information, lesson status, communications, payment records, technical records, assignment records, and other relevant information available to it.

6.2.6 The Platform may exclude a lesson from qualifying where it reasonably determines that the lesson was fraudulent, artificially or improperly recorded, materially disputed, or did not constitute genuine tutoring.

6.2.7 The definition of a Qualifying Completed Lesson in this Section applies to eligibility for Tutor reviews and ratings only. It does not, by itself, determine whether a Tutor is entitled to payment for a lesson. Tutor payment eligibility, including the effect of a Student's failure to submit an assignment, is governed by the applicable Tutor Terms and Conditions and payment provisions.

6.3 Review Availability and Verification

6.3.1 Where the applicable eligibility requirements are satisfied, the Platform may automatically make the review or rating function available to the eligible Student account.

6.3.2 The Platform may identify a review as a "Verified Review" or use a similar designation where the applicable eligibility requirements have been satisfied.

6.3.3 Any verification designation confirms only that the applicable eligibility requirements have been satisfied and does not constitute an endorsement of every statement, opinion, allegation, or other content contained in the review.

6.4 Genuine Experience and Review Limits

6.4.1 A User must not submit multiple reviews for the same Qualifying Completed Lesson or substantially the same experience unless the Platform expressly permits otherwise.

6.4.2 A User must not create or use multiple accounts, identities, or other means to obtain additional review opportunities or manipulate review eligibility.

6.4.3 Where the Platform permits a review to be edited, the edited review remains subject to these Terms and any applicable Platform procedures.

6.5 Honest Reviews

6.5.1 Reviews and ratings must be truthful and reasonably based on the User's actual experience.

6.5.2 Users may provide favourable or unfavourable opinions about a Tutor or Tutor Services provided that the review or rating otherwise complies with these Terms.

6.6 Prohibited Review Practices

A User must not:

6.6.1 submit a fake, fabricated, or knowingly misleading review or rating;

6.6.2 buy, sell, trade, or otherwise provide or obtain reviews or ratings in exchange for money, services, benefits, or other improper consideration;

6.6.3 offer or provide improper incentives for favourable or unfavourable reviews or ratings;

6.6.4 threaten, pressure, harass, or improperly influence another person in connection with a review or rating;

6.6.5 manipulate ratings, review counts, review visibility, or other review-related metrics;

6.6.6 submit a review or rating on behalf of another person without authorization;

6.6.7 coordinate with others to create artificial or misleading review activity; or

6.6.8 otherwise interfere improperly with the integrity or reliability of the Platform's review and rating system.

6.7 Tutor Responses

6.7.1 Tutors may respond to reviews through the Platform where the applicable feature is available.

6.7.2 Tutor responses must comply with these Terms and must not disclose a Student's personal, confidential, or sensitive information without authorization.

6.7.3 A Tutor must not threaten, pressure, harass, retaliate against, or improperly incentivize a Student or Parent/Guardian because of a review or rating.

6.8 Review Moderation

6.8.1 The Platform may remove, restrict, hide, or otherwise moderate a review or rating where it reasonably determines that the content or related activity:

6.8.1.1 violates these Terms or applicable Platform rules;

6.8.1.2 contains prohibited contact information or attempts to establish prohibited off-platform communications;

6.8.1.3 is unlawful, threatening, abusive, discriminatory, or otherwise prohibited;

6.8.1.4 improperly discloses personal, confidential, or sensitive information;

6.8.1.5 is fraudulent, fabricated, manipulated, or otherwise inauthentic;

6.8.1.6 involves impersonation or unauthorized activity; or

6.8.1.7 otherwise undermines the integrity or proper operation of the review system.

6.8.2 The Platform will not remove or restrict a review merely because it is unfavourable to a Tutor or because the Tutor disagrees with the review, where the review otherwise complies with these Terms.

6.8.3 The Platform may preserve records relating to reviews, ratings, or moderation actions where reasonably necessary for security, dispute handling, safeguarding, compliance, or other legitimate Platform purposes.

6.9 Rating Display

6.9.1 The Platform may display individual ratings, aggregate ratings, review counts, summaries, or other review-related information.

6.9.2 Ratings and displayed review information may change as additional reviews are submitted, removed, restricted, or otherwise processed.

6.9.3 The Platform may apply reasonable methodologies for calculating, weighting, displaying, rounding, or otherwise presenting ratings and review information.

6.9.4 The Platform does not guarantee that a displayed rating or review summary will remain unchanged or represent every User's experience.

6.10 Review Manipulation and Enforcement

6.10.1 The Platform may investigate suspected manipulation, fraud, abuse, or other improper activity relating to reviews or ratings.

6.10.2 Where appropriate, the Platform may take action under Section 22, including restricting review functionality, removing or disregarding affected reviews or ratings, restricting accounts, suspending access, or terminating an account.

6.11 Accuracy and Limitations

6.11.1 Reviews and ratings represent the opinions and experiences of the Users who submit them and do not necessarily represent the views of the Platform.

6.11.2 The Platform does not guarantee that reviews or ratings are complete, accurate, current, or representative of all Users' experiences.

6.11.3 Reviews, ratings, and any "Verified Review" designation do not constitute an endorsement, certification, or guarantee by the Platform of a Tutor's qualifications, suitability, availability, reliability, or ability to achieve any particular educational outcome, or of the accuracy or completeness of the contents of a review.

7. MESSAGING AND GROUP CHATS
7.1 Messaging Services

7.1.1 The Platform may provide private messaging, lesson-specific messaging, group chats, discussion areas, forums, support communications or other communication features.

7.1.2 Messaging and group-chat features are intended for legitimate educational, tutoring, administrative, support, safety, transactional or other Platform-related purposes.

7.1.3 The availability and functionality of messaging or group-chat features may vary depending on the User's account, role, Service, age, eligibility, group participation or other applicable conditions.

7.1.4 The Platform may modify, restrict, suspend or discontinue messaging or group-chat functionality where permitted by these Terms.

7.2 Permitted Use

7.2.1 Users must use messaging and group-chat features only for legitimate educational, tutoring, administrative, support, safety or other Platform-related purposes.

7.2.2 Users must communicate respectfully and must not use messaging or group-chat features in a manner that unreasonably interferes with another User's use of the Platform or Services.

7.2.3 An authorized third-party video-conferencing system may be used for an online video tutoring session where the Platform has expressly authorized its use for that session and the User complies with the applicable requirements.

7.2.4 Use of an authorized third-party video-conferencing system for an online video tutoring session is limited to conducting that tutoring session and does not create permission to use that system to establish or maintain an independent communication channel, exchange prohibited contact information, arrange unauthorized tutoring or bookings, or make or receive payments outside the Platform.

7.3 Prohibited Messaging Conduct

7.3.1 Users must not use messaging or group-chat features to engage in conduct prohibited by Section 14.

7.3.2 Users must not use messaging, group chats or an authorized third-party video-conferencing system used for an online video tutoring session to circumvent Section 8, including by exchanging prohibited contact information or arranging unauthorized off-platform communication, tutoring, bookings or payments.

7.5.1 Group chats may be provided for subjects, courses, classes, learning communities, support, projects, events or other Platform-related purposes.

7.5.2 Participation in a group chat may be subject to eligibility, invitation, approval, moderation, age, role or other applicable requirements.

7.5.3 Users participating in group chats must comply with these Terms and any applicable group-specific rules or instructions.

7.5.4 The Platform or Authorized Persons acting as moderators may remove content, restrict participation, mute or remove participants, or suspend or close a group where reasonably necessary for safety, moderation, security, compliance, administration or enforcement.

7.5.5 Participation in a group chat does not create permission to contact another User outside Platform-authorized communication channels.

7.6 Moderation/Review

7.6.1 The Platform may use automated systems, User reports and human review to moderate messaging and group-chat activity.

7.6.2 The Platform may access, review or analyze relevant communications where reasonably necessary or legally permitted for safety, safeguarding, fraud prevention, security, dispute resolution, legal compliance, enforcement or protection of the Platform, Users or other persons.

7.6.3 The Platform does not guarantee that all prohibited, harmful or inappropriate communications will be detected, prevented or removed.

7.6.4 Moderation does not mean that every communication will be monitored, reviewed or responded to.

7.7 Reporting

7.7.1 Users may report communications, messages, group-chat content or conduct that they reasonably believe violates these Terms or creates a safety, security or other legitimate concern.

7.7.2 Users making a report must provide information that is accurate and reasonably relevant to the concern being reported.

7.7.3 The Platform may review reports and take appropriate action under these Terms.

7.7.4 The Platform does not guarantee a particular outcome from a report or that action will be taken in every case.

7.8.1 The Platform may retain communications and related records for as long as reasonably necessary or legally required for Platform operations, safety, safeguarding, security, fraud prevention, dispute resolution, enforcement, legal compliance or other legitimate purposes.

7.8.2 Communications and related records will be handled in accordance with Section 17, applicable law and any other applicable provisions of these Terms.

7.9 Enforcement

7.9.1 Violations of this Section may result in measures under Section 22, including restriction, suspension or termination of relevant Platform features or access.

7.9.2 The Platform may restrict or discontinue an authorized third-party video-conferencing system where permitted by these Terms or applicable law.

8. CONTACT INFORMATION AND OFF-PLATFORM COMMUNICATION
8.1 General Prohibition

8.1.1 User-to-User communication relating to Platform Services, tutoring relationships, bookings, lessons, payments, learning activities or Platform-originated opportunities must remain within Platform-authorized communication channels.

8.1.2 The Platform may provide, authorize or integrate third-party systems and services, including systems used for online video tutoring sessions, where necessary or appropriate for the provision of Platform Services.

8.1.3 Use of an authorized third-party system for a Platform-arranged Service does not by itself constitute prohibited off-platform communication, provided that the system is used only for the authorized purpose and within the scope permitted by the Platform.

8.1.4 Users must not use an authorized third-party system to exchange prohibited contact information, establish independent communication or tutoring arrangements, arrange bookings or payments outside the Platform, or otherwise circumvent these Terms.

8.2 Prohibited Contact Information

8.2.1 Users must not share, request, exchange or obtain personal contact information through the Platform or an authorized third-party system except where that information is expressly provided, generated, displayed, required or authorized for a legitimate Platform function.

8.2.2 Prohibited contact information may include telephone or mobile numbers, WhatsApp or other personal messaging details, personal email addresses, Telegram or Signal details, social-media handles, personal websites or direct external links, external payment details, or other information that enables direct communication, tutoring, booking or payment outside the Platform.

8.2.3 These restrictions apply to messages, group chats, profiles, listings, assignments, comments, reviews, attachments, images, audio, video, links and other Platform features or communication methods.

8.3 Circumvention and Off-Platform Arrangements

8.3.1 Users must not circumvent the restrictions in this Section by splitting, disguising, encoding or otherwise concealing prohibited contact information or external communication details through multiple messages, images, screenshots, attachments, audio, video, symbols, coded language, abbreviations, links or indirect methods.

8.3.2 Users must not ask, encourage, assist, facilitate or attempt to cause another User to provide prohibited contact information or establish unauthorized external communication.

8.3.3 Users must not arrange, request, encourage, facilitate, attempt or complete off-platform communication, tutoring, bookings, payments or other transactions arising from a Platform-originated relationship, booking, Service or opportunity, unless expressly authorized by the Platform.

8.3.4 Users must not move a Platform-originated tutoring, booking, payment or other transaction to another website, application, messaging service, telephone, social-media service, external payment channel or other external arrangement in order to circumvent Platform requirements.

8.3.5 These restrictions apply regardless of whether the purpose is to avoid fees, requirements, restrictions, safeguards or other Platform conditions.

8.3.6 An attempt to circumvent these restrictions may constitute a violation even if the prohibited communication, arrangement or transaction is not completed.

8.4 Use of Platform Information

8.4.1 Users must not use information obtained through the Platform to locate, identify or contact another User outside Platform-authorized channels.

8.4.2 Users must not use Platform information, User relationships or Platform-originated opportunities to establish an unauthorized external tutoring, service, commercial or other relationship.

8.5 Platform-Originated Relationships

8.5.1 Where a tutoring relationship, booking, transaction or other opportunity originates through the Platform, Users must not independently arrange or conduct the related tutoring, booking, payment or transaction outside the Platform unless expressly authorized.

8.5.2 Users must not transfer or redirect a Platform-originated relationship, booking, tutoring arrangement or payment relationship to an external service, communication channel or payment method without authorization.

8.5.3 The restrictions in this Section may continue to apply after a booking, lesson or other Platform interaction ends where a subsequent communication, relationship or transaction arises from the Platform-originated relationship or opportunity.

8.5.4 While a tutoring relationship established through the Platform exists, and for twelve (12) months after the Tutor–Student relationship or the relevant User's access to the Platform ends, whichever occurs later, Users must not use non-public contact information, introductions, relationships or other information obtained through the Platform to solicit, arrange, facilitate or conduct unauthorized off-platform tutoring or other transactions in circumvention of these Terms. This restriction does not prohibit lawful activities that do not involve such circumvention or misuse of Platform-derived information. Nothing in this clause limits any separate confidentiality, privacy, child-protection or safeguarding obligation that continues under these Terms or applicable law.

8.6 Children and Safeguarding

8.6.1 Users must comply with the child-protection and safeguarding requirements in Section 18.

8.6.2 Users must not exchange prohibited contact information with a child or use an authorized third-party system to move interactions with a child outside Platform-authorized channels.

8.6.3 Users must not independently contact, locate or attempt to establish an unauthorized relationship with a child using information obtained through the Platform.

8.7 Marketing and Solicitation

8.7.1 Users must not use Platform information, User relationships, communication systems or Platform features for unauthorized marketing, recruitment, solicitation, promotion or commercial outreach.

8.7.2 Users must not use a Platform-originated relationship to recruit another User to an external tutoring, educational, commercial or other service in a manner that circumvents these Terms.

8.7.3 Users must not create, maintain or use external contact lists derived from Platform Users or Platform information without authorization.

8.8 Authorized Exceptions

8.8.1 Contact or communication methods expressly provided, generated, displayed or required by the Platform for an authorized Platform function are permitted to the extent authorized.

8.8.2 The technical ability to access, discover or use a communication method does not by itself constitute authorization under these Terms.

8.9 Enforcement

8.9.1 The Platform may take appropriate measures under Section 22 in response to violations of this Section, including restricting communication, tutoring, bookings, account functionality or access to Services.

8.9.2 The Platform may retain and use relevant evidence in accordance with Section 17, applicable law and Section 22.

9.2 Tutors and Learning Activities

9.2.1 Tutors may use questions, investigations, assignments, projects, demonstrations, research, problem-solving and other inquiry-based methods as part of Tutor Services.

9.2.2 Where appropriate for the learning activity, a Tutor may guide a Student toward developing an answer or solution rather than directly providing it.

9.2.3 Students are expected to participate reasonably in applicable learning activities and comply with applicable academic, assessment, examination and other learning requirements.

9.2.4 Where an assignment or learning activity is expressly made a condition of a particular Service or lesson, its completion may be considered in determining whether the applicable Service requirement has been satisfied, including where relevant under Section 6.

9.3 AI-Assisted Learning

9.3.1 The Platform may provide AI-powered educational assistants, AI Tutors and other AI-assisted learning functionality. Availability may depend on the User, account, age, Service, location, technical requirements, safety considerations or other applicable conditions.

9.3.2 AI-assisted learning functionality may provide explanations, examples, practice exercises, hints, guidance, summaries, feedback, revision assistance, simulations, visualizations, educational content or other learning support.

9.3.3 AI-assisted functionality may adapt its responses or activities based on information provided through the relevant feature and the User's interactions with it.

9.3.4 The Platform may apply usage, technical, availability, safety, age-related or other restrictions to AI-assisted learning functionality.

9.4 AI Limitations and User Responsibility

9.4.1 AI-generated or AI-assisted information may contain errors, omissions, inaccuracies, outdated information, inconsistencies or conclusions that are unsuitable for a particular purpose.

9.4.2 The Platform does not guarantee that AI-generated or AI-assisted information will be accurate, complete, current, reliable or appropriate for a particular User or purpose.

9.4.3 Users are responsible for exercising appropriate judgment when relying on AI-generated or AI-assisted information and should verify important information using appropriate educational materials, authoritative sources or qualified professionals where necessary.

9.4.4 AI-assisted learning functionality is not a substitute for professional advice where professional advice is required.

9.4.5 AI-generated demonstrations, simulations, explanations or other educational material may simplify, approximate, omit or otherwise differ from real-world conditions or established educational materials.

9.4.6 AI-generated instructions do not authorize a User to undertake hazardous activities without appropriate supervision, equipment, training and safety measures.

9.5 AI and Academic Integrity

9.5.1 Students may use AI-assisted learning functionality for permitted educational purposes, including learning, research, practice, revision, explanation and brainstorming, subject to applicable academic and assessment requirements.

9.5.2 Students must not use AI-assisted learning functionality to engage in cheating, examination misconduct, plagiarism, impersonation or other conduct that violates applicable academic-integrity requirements.

9.5.3 Students remain responsible for their own reasoning, writing, research, analysis, calculations and other work to the extent required by the applicable assignment, course, assessment or institution.

9.5.4 Where applicable academic, assessment, examination or institutional requirements require disclosure of AI assistance or restrict its use, the Student is responsible for complying with those requirements.

9.6 Third-Party AI and Educational Services

9.6.1 The Platform may use authorized third-party AI providers and other third-party educational or technical services to provide, support, maintain or operate learning and AI-assisted functionality.

9.6.2 Where reasonably necessary to provide the relevant functionality, information submitted to or generated through an AI-assisted learning feature may be processed by an authorized third-party service provider, subject to Section 17, the Privacy Policy, applicable law and applicable contractual or data-processing requirements.

9.6.3 Users may be required to comply with applicable terms, policies and technical requirements of a third-party service used as part of an authorized Platform Service.

9.6.4 The Platform does not guarantee the availability, accuracy, security, suitability, performance or continued operation of a third-party educational or AI service controlled by the relevant third party, except to the extent otherwise required by applicable law.

9.6.5 The Platform may modify, replace, restrict, suspend or discontinue particular AI-assisted learning or third-party educational functionality where permitted by these Terms or applicable law.

9.6.6 Authorized third-party systems must not be used to circumvent these Terms, including the restrictions on unauthorized off-platform communication, tutoring, bookings, payments or other transactions.

9.7 Privacy and Responsible Use

9.7.1 Users should avoid submitting unnecessary personal, confidential or sensitive information through AI-assisted learning features, particularly information relating to another person.

9.7.2 Information submitted through AI-assisted learning features may be processed by the Platform and its authorized service providers as reasonably necessary for the relevant functionality, subject to Section 17, the Privacy Policy and applicable law.

9.7.3 The Platform may apply reasonable technical and operational measures designed to limit unnecessary transmission of personal, confidential or sensitive information to authorized third-party AI providers.

9.8 Students Who Are Minors

9.8.1 Students who are minors remain subject to the age, Parent/Guardian authorization, supervision, safety and safeguarding requirements set out in Sections 2 and 18.

9.8.2 The Platform may apply additional restrictions, supervision requirements or other limitations to AI-assisted learning or other educational functionality where reasonably necessary for child safety, safeguarding, legal compliance or responsible use.

9.9 Availability and Changes

9.9.1 The availability of inquiry-based learning and AI-assisted learning functionality may vary depending on the User, account, age, Service, location, technical requirements, safety considerations and other applicable circumstances.

9.9.2 The Platform may modify, limit, suspend, replace or discontinue particular learning or AI-assisted functionality where permitted by these Terms or applicable law.

9.9.3 The Platform is not required to maintain any particular AI model, AI provider, educational tool, functionality, feature, output or third-party service.

10. REFERRAL PROGRAMME

10.1 The Platform may operate a referral programme through which approved persons may introduce new Users, customers or other eligible participants to the Platform (the “Referral Programme”).

10.2 A person approved to participate in the Referral Programme is a “Referral Agent.” A person does not become a Referral Agent merely by referring another person to the Platform.

10.3 Participation in the Referral Programme is subject to the applicable Referral Programme Rules and, where applicable, a separate Referral Agent Agreement.

10.4 Referral Agents must comply with these Terms, the applicable Referral Programme Rules, any applicable Referral Agent Agreement, and applicable law when carrying out referral activities.

10.5 Referral Agents must not make false, misleading or unauthorized representations about the Platform, its Services, Tutors, prices, promotions, commissions, rewards or expected outcomes, and must not engage in fraudulent, artificial or manipulative referral activity.

10.6 Referral Agents have no authority to bind, represent, contract on behalf of, or otherwise create obligations for the Platform unless expressly authorized by the Platform.

10.7 The eligibility requirements, approved referral methods, attribution rules, qualifying referral requirements, commissions, rewards, payment arrangements, verification procedures and other Programme-specific matters are governed by the applicable Referral Programme Rules and/or Referral Agent Agreement.

10.8 The Platform may suspend or terminate participation in the Referral Programme and may reject, reverse or withhold referral benefits where permitted by the applicable Referral Programme Rules, Referral Agent Agreement or applicable law.

10.9 Student Referral Rewards
10.9.1 Participation

The Platform may allow eligible Students to refer new Students to the Platform through an approved referral link, code, or other referral method. Participation in the Student Referral Rewards programme is subject to these Terms and any applicable programme requirements communicated by the Platform.

10.9.2 Qualifying Student Referrals

A Student may qualify for reward points where the referral has been successfully recorded through an approved referral method, the referred Student is a new Platform user, and the referred Student makes their first successful subscription payment through the Platform.

Registration, account creation, or use of the Platform without a first successful subscription payment shall not, by itself, entitle the referring Student to reward points. The referral must also satisfy any other applicable eligibility and verification requirements under these Terms.

10.9.3 Award of Reward Points

Where a referral satisfies the qualifying conditions in Clause 10.9.2, the referring Student may be awarded reward points in accordance with the reward rate and conditions communicated by the Platform. The Platform may verify the referral and the relevant subscription payment before awarding the points.

10.9.4 Nature of Reward Points

Reward points awarded under this programme are non-monetary promotional benefits. They do not constitute cash, wages, commissions, or an entitlement to monetary payment. Reward points shall not be redeemed or exchanged for cash.

10.9.5 Redemption of Reward Points

Reward points may be redeemed only for discounts, Platform services, or other rewards or benefits expressly made available by the Platform. Redemption is subject to the applicable point requirements, availability of the relevant reward, and any redemption conditions communicated by the Platform.

10.9.6 Non-Transferability

Reward points are personal to the Student to whom they are awarded and may not be sold, transferred, assigned, or exchanged with another person unless the Platform expressly permits otherwise.

10.9.7 Invalid Referrals and Reversal of Points

No reward points shall be awarded for fake, fraudulent, artificial, duplicate, self-generated, or otherwise prohibited referrals. If a subscription payment associated with a referral is cancelled, refunded, reversed, charged back, or otherwise determined to be invalid, the Platform may withhold, cancel, or reverse the related reward points, including points already credited to the referring Student's account.

10.9.8 Prohibited Conduct

Students must use only approved referral methods and must not manipulate referral links or codes, create additional accounts to obtain rewards, submit false information, engage in spam or misleading promotion, or otherwise abuse the Student Referral Rewards programme.

Students must not collect, use, or submit another person's personal data through referral activities without the necessary authority and any consent required by applicable law.

10.9.9 Administration and Changes

The Platform may establish reasonable requirements concerning eligibility, the number of points awarded, point balances, redemption, expiry, and other operational aspects of the Student Referral Rewards programme. The Platform may modify, suspend, or discontinue the programme in accordance with these Terms and applicable law. Any material changes shall be communicated as required by these Terms and applicable law.

Suspension or discontinuation of the Student Referral Rewards programme shall not automatically cancel reward points that were validly earned and properly credited before the effective date of the suspension or discontinuation. Only legitimate reward points that satisfy these Terms and remain eligible for redemption shall survive. Reward points attributable to fake, fraudulent, artificial, duplicate, self-generated or otherwise prohibited referrals, or to subscription payments that are cancelled, refunded, reversed, charged back or otherwise determined to be invalid, shall not qualify for continued redemption and may be withheld, cancelled or reversed in accordance with Clause 10.9.7. The Platform shall communicate any applicable redemption period for legitimate remaining reward points, subject to these Terms and applicable law.

10.9.10 Separate from the Referral Agent Programme

Student Referral Rewards are separate from the Referral Agent Programme. A Student who refers another Student under this clause is eligible only for the applicable reward points and does not thereby become a Referral Agent or acquire an entitlement to monetary commissions under the separate Referral Agent Terms and Conditions.

10.9.11 Treatment of Reward Points on Suspension or Discontinuation

11.1.2 Live video tutoring may be conducted through the Platform or through a third-party video-conferencing system expressly authorized or integrated by the Platform for that tutoring session.

11.1.3 The Platform does not provide or authorize physical or in-person tutoring through the Platform.

11.1.4 Unless otherwise stated, Tutors provide Tutor Services through the Platform, subject to these Terms and any applicable Tutor Terms, while the Platform facilitates Tutor discovery or matching, booking, communication, administration and related Platform functions.

11.1.5 Online tutoring may involve video, audio, screen sharing, digital whiteboards, documents, assignments, demonstrations and other educational tools provided through the Platform or an authorized third-party system.

11.1.6 An authorized third-party video-conferencing system may be subject to its own terms, policies and technical requirements. The Platform does not guarantee the availability, performance, security or uninterrupted operation of such third-party systems.

11.1.7 Use of an authorized third-party video-conferencing system for a Platform-arranged Tutor Service does not, by itself, constitute prohibited off-platform communication under Section 8 where the system is used only for the authorized tutoring session and within the scope permitted by the Platform.

11.1.8 Users must not use an authorized third-party tutoring system to exchange prohibited contact information, arrange independent tutoring, establish unauthorized communication channels, or circumvent the Platform's booking, payment, safety or other requirements.

11.2 Lesson Recording

11.2.1 All tutoring lessons conducted through the Platform or through a third-party video-conferencing system expressly authorized or integrated by the Platform for the relevant tutoring session must be recorded. Recordings are made for purposes including lesson review, Tutor quality assurance, safeguarding, investigation of complaints or incidents, and administration of the Tutor Services.

11.2.2 Unless otherwise stated by the Platform, lesson recordings are made by the Tutor and uploaded to the Platform. A Tutor may temporarily record a lesson using an appropriate local recording method where necessary to facilitate the upload of the recording to the Platform, but must delete the local copy after the recording has been successfully uploaded to the Platform, unless retention is expressly authorized or required by the Platform or applicable law.

11.2.3 Students must not record, capture, download, copy, reproduce or distribute a tutoring lesson or lesson recording unless expressly authorized by the Platform.

11.2.4 A lesson recording may contain the image, voice, communications or other personal data of a Student, Tutor or other authorized participant. Users must use and access recordings only as permitted by the Platform and these Terms.

11.2.5 Where a lesson is conducted as a group session using the Platform or an authorised third-party video-conferencing system, a Student or other participant may appear or be heard in the recording if their camera or microphone is enabled during the lesson. Participants may choose to turn off their cameras and microphones, subject to the technical functionality and requirements of the Platform or the authorised third-party video-conferencing system.

11.2.6 Where a lesson is conducted as a group session using the Platform or an authorised third-party video-conferencing system, a Student or other participant may appear or be heard in the recording if their camera or microphone is enabled during the lesson. Participants may choose to turn off their cameras and microphones, subject to the technical functionality and requirements of the Platform or the authorised third-party video-conferencing system.

11.2.7 During the applicable lesson period, access to a recording may be provided through the Platform to Users authorized to access that recording. After the applicable lesson period, access may be restricted to Authorized Persons where reasonably necessary for Platform administration, Tutor quality assurance, safeguarding, complaint investigation, legal compliance, security or other legitimate Platform purposes.

11.2.8 Lesson recordings are not intended to be downloaded by Students, Parents or Guardians and may not be downloaded, copied, reproduced, redistributed or made available outside the Platform unless expressly authorized by the Platform.

11.2.9 Lesson recordings will not be used to train or develop artificial intelligence models unless the Platform separately obtains any consent or authorization required by applicable law.

11.2.10 The Platform may take reasonable measures to protect lesson recordings against unauthorized access, loss, alteration or disclosure, but does not guarantee that recordings will never be lost, corrupted, inaccessible or affected by technical failure.

11.2.11 A User who is authorized to access a lesson recording may report inappropriate, unsafe or otherwise concerning content through the Platform's designated reporting mechanism.

11.2.12 Lesson recordings and any personal data contained in them are subject to Section 17, the Privacy Policy and applicable law.

11.3 Selecting and Requesting Tutor Services

11.3.1 A Student, Parent/Guardian or Registering Parent/Guardian, as applicable, may provide information relevant to selecting or arranging Tutor Services, including the Student's subject, educational level, learning needs, objectives, availability and other reasonably necessary information.

11.3.2 The Platform may use information provided about a Student to assist with matching or presenting Tutors or Tutor Services that may be relevant to the Student's stated needs.

11.3.3 Where the Platform permits the Student to select or request a Tutor or Tutor Service directly, a minor Student whose account has been activated following the required Parent/Guardian authorization may make such selections or requests directly, subject to the permissions, requirements and limitations applicable to the Student's account.

11.3.4 The Registering Parent/Guardian may guide, advise or assist the Student in selecting Tutors, subjects, lessons, schedules or other Tutor Services, including by discussing the Student's learning needs and helping the Student evaluate available options.

11.3.5 The Registering Parent/Guardian's ability to guide or assist the Student does not require the Registering Parent/Guardian to make every booking or approve every individual lesson, unless the Platform expressly requires additional approval for a particular Service, booking or circumstance.

11.3.6 A Student's ability to select or request Tutor Services does not, by itself, authorize the Student to use a payment method or make payment arrangements without the applicable authorization.

11.4 Booking Information

11.4.1 Users must provide accurate, current and complete information when requesting or making a booking.

11.4.2 Booking information may include the subject, educational level, learning needs, duration, schedule, Tutor, learning objectives, activities and other applicable requirements.

11.5 Class Enrolment, Lesson Selection and Booking

11.5.1 A Student, Parent/Guardian or Registering Parent/Guardian, as applicable, may enrol a Student in a class through the enrolment mechanism provided on the Platform.

11.5.2 Enrolment in a class does not, by itself, enrol the Student in the individual lessons offered under that class. The Student or Parent/Guardian must separately select and enrol the Student in each intended lesson through the Platform.

11.5.3 Where payment or other conditions are expressly required for a particular lesson, those conditions must be satisfied as part of the applicable enrolment process.

11.5.4 Once enrolment in an individual lesson has been successfully completed and recorded by the Platform, the lesson is booked and secured, and no separate confirmation or acceptance is required. The Student is expected to attend, and the Tutor is expected to conduct, the lesson at the scheduled date and time displayed on the Platform, subject to these Terms and any applicable cancellation, rescheduling, technical or other provisions.

11.5.5 Users are responsible for reviewing the lesson details, including the subject, Tutor, scheduled date and time, and any applicable requirements, before completing enrolment.

11.6 Tutor Responsibilities for Bookings

11.6.1 Tutors must provide Tutor Services substantially in accordance with the confirmed booking, including the agreed subject, duration, format and other material terms.

11.6.2 Tutors must make reasonable efforts to attend and provide scheduled Tutor Services, subject to applicable cancellation, rescheduling and technical provisions.

11.6.3 Tutors must provide any materials, activities or other components expressly included in the applicable Tutor Service.

11.6.4 Tutors must provide Tutor Services professionally, appropriately and in accordance with the requirements applicable to Tutors under these Terms and any applicable Tutor Terms.

11.7 Student Responsibilities

11.7.1 Students must make reasonable efforts to attend and participate in booked lessons.

11.7.2 Students must provide information reasonably necessary for the provision of the Tutor Service.

11.8 Attendance and No-Shows

11.8.1 The Platform may record or determine attendance using booking records, Platform records, authorized third-party records, communications and other relevant information.

11.8.2 A Student may be treated as a no-show where the Student fails to attend a scheduled lesson without an approved arrangement.

11.8.3 A Tutor may be treated as a no-show where the Tutor fails to attend a scheduled lesson without an approved arrangement.

11.8.4 Consequences of attendance issues, no-shows and related circumstances are governed by Section 13 and any applicable Service-specific terms.

11.8.5 Technical failures and circumstances outside a User's reasonable control may be considered separately.

12. PAYMENTS AND FEES
12.1 Fees

12.1.1 Certain Platform Services, features, Subscriptions, bookings and other transactions may require payment.

12.1.2 The principal charges payable by Users may include Subscription Fees and other charges applicable to the Platform or particular Services, features, bookings or transactions, as disclosed by the Platform from time to time.

12.1.3 The applicable fees or charges may depend on the Subscription, Tutor Service, booking, course, package, promotion, User eligibility or other applicable conditions.

12.2 Price and Transaction Information

12.2.1 The price and applicable charges for a Subscription, Service, booking or other transaction will be presented to the User before the payment is confirmed, where required by law and reasonably practicable.

12.2.2 Users are responsible for reviewing the transaction information provided to them, including applicable prices, charges, quantities, Subscription details and other material terms before confirming a transaction.

12.2.3 Taxes, duties or transaction-related charges may be included in the displayed price or added separately where applicable. The total amount payable will be presented before payment, where required by law and reasonably practicable.

12.2.4 The Platform or applicable payment provider may issue a receipt, payment confirmation or other transaction record showing relevant information, which may include the amount paid, date of payment and applicable Service, Subscription or transaction.

12.3 Payment Authorization

12.3.1 By confirming a paid transaction, the User authorizes the applicable payment method to be charged for the amount disclosed for that transaction.

12.3.2 A User must have lawful authority to use the payment method used for a transaction.

12.3.3 A User must not use another person's payment method without the required authorization.

12.3.4 The Platform or its payment providers may require additional payment verification or authorization before processing a transaction.

12.4 Payment Methods and Payment Providers

12.4.1 Payments may be processed through banks, card processors, mobile-money providers or other payment providers authorized or made available by the Platform.

12.8.2 The specific access rights, Tutor access, Services, benefits and limitations applicable to a Subscription will depend on the Subscription selected and the information disclosed before purchase or renewal.

12.8.3 The Subscription Fee, billing frequency, renewal terms and applicable payment conditions will be disclosed before the Subscription is purchased or renewed.

12.8.4 Where a Subscription provides access to Tutor Services or bookings without a separate charge for each booking, the Subscription will determine the extent and conditions of that access.

12.8.5 Where a Service, booking, feature or other transaction is not included within the applicable Subscription and requires a separate payment, the applicable amount and payment requirements will be presented before the transaction is confirmed.

12.8.6 Where a Subscription provides for recurring billing, the User authorizes recurring charges in accordance with the disclosed Subscription terms.

12.8.7 Users with active or renewing Subscriptions must maintain a valid payment method and sufficient authorization for applicable Subscription payments.

13.1.2 Users are responsible for reviewing the applicable cancellation, rescheduling and refund conditions before making a booking, purchasing a subscription or using a Tutor Service.

13.1.3 Cancellation deadlines, eligibility requirements, applicable charges and other consequences may vary depending on the type of Tutor Service, subscription, booking or circumstances involved.

13.2.2 A cancellation or rescheduling request is subject to the applicable cancellation conditions, including any relevant deadline, notice requirement, fee or other condition.

13.2.3 Depending on the applicable policy and the circumstances, a cancellation may result in a refund, credit, rescheduling, adjustment or forfeiture of the amount paid for the affected Tutor Service.

13.2.4 Submitting a cancellation request does not, by itself, guarantee a refund or credit.

13.3 Tutor Cancellations

13.3.1 A Tutor who cannot provide a confirmed Tutor Service must notify the Platform through the applicable procedure as soon as reasonably practicable.

13.3.2 Where a Tutor cancels or fails to provide a confirmed Tutor Service, the Platform may, as appropriate and subject to the applicable policy, arrange a rescheduled lesson, offer an alternative Tutor, issue a credit, provide a refund or make another appropriate payment adjustment.

13.3.3 The appropriate remedy may depend on the reason for the cancellation, whether the Tutor Service was partly provided, the availability of an alternative arrangement and the applicable cancellation and refund conditions.

13.3.4 A Tutor's cancellation or failure to attend does not automatically entitle the Tutor to treat the affected Tutor Service as having been completed.

13.4 Platform Cancellations

13.4.1 The Platform may cancel, suspend or prevent a booking or Tutor Service where reasonably necessary because of Tutor unavailability, technical problems, payment issues, safety or safeguarding concerns, suspected fraud, legal requirements, security risks or other operational circumstances.

13.4.2 Where reasonably practicable, the Platform will notify affected Users of a cancellation and provide information about any available alternative arrangement.

13.4.3 Where the Platform cancels a Tutor Service that has not been provided, the applicable policy will determine whether the affected User is entitled to rescheduling, a credit, a refund or another appropriate adjustment, subject to applicable law.

13.5 Rescheduling

13.5.1 A User may request to reschedule a confirmed booking through the Platform's designated mechanism or another method expressly authorized by the Platform.

13.6 No-Shows and Late Attendance

13.6.1 Attendance and no-shows are governed by Section 11 and any applicable Service-specific terms.

13.6.2 A User who arrives late or fails to attend a scheduled lesson may be subject to the consequences specified in the applicable cancellation and refund policy.

13.6.3 Depending on the circumstances and applicable policy, a late arrival or no-show may result in the lesson proceeding for the remaining scheduled time, rescheduling, a credit, a refund or the loss of some or all of the amount paid for the affected lesson.

13.6.4 The Platform may consider relevant circumstances, including prior notice, the reason for the absence, the conduct of the parties and any technical problems affecting attendance.

13.7 Technical Problems and Interrupted Lessons

13.7.1 Where a lesson is interrupted, delayed or prevented by a technical problem, the Platform may consider the nature, duration and cause of the problem when determining an appropriate remedy.

13.7.2 Technical problems affecting the Platform or a video-conferencing system authorized by the Platform may be treated differently from problems caused by a User's or Tutor's own device, internet connection, software or other equipment.

13.7.3 Depending on the circumstances and applicable policy, the Platform may arrange continuation or rescheduling of the lesson, offer a credit, provide a refund or make another appropriate adjustment.

13.7.4 A technical problem does not automatically guarantee a refund or other remedy. The Platform will consider the applicable policy, the extent to which the Tutor Service was provided and any other relevant circumstances.

13.8 Refund Eligibility and Processing

13.8.1 Refund eligibility is determined in accordance with these Terms, the applicable Cancellation and Refund Policy, subscription terms and any other applicable Service-specific terms.

13.8.2 Refunds may be available where a refund is required by applicable law or provided for under the applicable cancellation and refund conditions.

13.8.3 Where a refund is approved, the Platform may process it through the original payment method or another appropriate method permitted by the Platform and applicable law.

13.8.4 The time required for a refund to be received may depend on the payment method, payment service provider, financial institution and other processing requirements outside the Platform's reasonable control.

13.8.5 Where appropriate and permitted by the applicable policy and law, the Platform may provide a credit or alternative arrangement instead of a monetary refund.

13.8.6 Nothing in these Terms authorizes the Platform to withhold a refund or exclude a remedy where doing so would violate applicable law.

20.5 User Decisions and Reliance

20.5.1 Users are responsible for exercising their own judgment when relying on tutoring, reviews, ratings, AI-generated information, educational materials or User Content and, where appropriate, verifying information that is material to their circumstances or intended use.

20.6 Liability Cap

21.1 User Indemnity

21.1.1 To the extent permitted by law, a User must indemnify the Platform and its owners, directors, officers, employees, contractors, agents and affiliates against claims, losses, liabilities, damages, costs and reasonable legal expenses arising to the extent caused by the User's:

21.1.1.1 breach of these Terms;

21.1.1.2 the User's unlawful, fraudulent or unauthorized conduct;

21.1.1.5 intentional or materially improper misuse of payment, messaging or other Platform systems; or

21.1.1.6 a third-party claim arising from the User's acts or omissions, to the extent such claim is attributable to the User.

21.1.1.7 For the avoidance of doubt, this Section 21.1 does not establish the indemnity obligations of Tutors or Referral Agents in respect of their professional, commercial or referral activities, which may be governed by separate agreements or terms applicable to those Users.

21.2 Causation Limitation

21.2.1 The indemnity applies only to the extent that the relevant claim, loss, liability, damage, cost or expense results from the User's acts, omissions, Content or breach.

21.2.2 A User is not required to indemnify the Platform for liability that cannot lawfully be transferred to the User.

21.3 Defence and Settlement

21.3.1 Where reasonably practicable and legally permitted, the Platform will notify the User of a third-party claim for which indemnification is sought.

21.3.2 Where appropriate, the Platform may assume and control the defence of an indemnified claim.

21.3.3 The User must reasonably cooperate with the defence of an indemnified claim.

21.3.4 The User must not settle an indemnified claim in a manner that admits liability on behalf of the Platform, imposes obligations on the Platform, or materially prejudices the Platform's rights or interests, without the Platform's prior authorization.

22.4 User Account Closure

22.4.1 A User may request closure of their account subject to outstanding obligations.

22.4.2 Account closure does not automatically cancel outstanding payment obligations, bookings, subscriptions, disputes or other obligations that survive termination, and any applicable cancellation or refund rights remain subject to Sections 12 and 13 and applicable law.

22.5 Consequences

22.5.1 Suspension or termination may result in the loss of access to bookings, tutoring, messaging, reviews, referrals, commissions, credits and other features, subject to any rights or remedies available under these Terms or applicable law.

22.5.2 The Platform may retain records where necessary for legal, safety, security, fraud prevention, dispute-resolution or enforcement purposes, subject to Section 17 and applicable law.

23.5 Continued Use and Disagreement

23.5.1 Where legally permitted, and following reasonable notice of the updated Terms and their effective date, continued use of the Platform or affected Services after the effective date may constitute acceptance of the updated Terms.

23.5.2 If a User does not agree to a material change, the User may stop using the affected Services and close their account, subject to any outstanding payment obligations, bookings, subscriptions, cancellation or refund rules under Sections 12 and 13, and other applicable obligations under these Terms or applicable law.

23.6.1 The Platform may maintain records of previous versions of these Terms, including their applicable effective dates, for legal, administrative, dispute-resolution, compliance or record-keeping purposes.

23.6.2 Changes to these Terms do not affect rights, obligations or liabilities that accrued before the effective date of the updated Terms, unless otherwise permitted or required by applicable law or expressly agreed by the affected parties.

23.6.3 Where another provision of these Terms establishes a specific procedure or effective date for changes to a particular Service, programme, feature or other matter, that specific provision will apply to that matter to the extent applicable, subject to Section 26 and applicable law.

24. GOVERNING LAW AND JURISDICTION

24.3 Mandatory Rights

24.3.1 Nothing in these Terms limits or excludes any mandatory right, remedy, protection or legal requirement that cannot lawfully be limited or excluded.

25.1.1 If any provision of these Terms is held to be invalid or unenforceable, it will be interpreted or modified to the minimum extent necessary to make it valid and enforceable to the extent legally permitted.

25.1.2 If a provision cannot be made valid or enforceable, it will be severed to the extent necessary.

25.2 Partial Invalidity

25.2.1 Where only part of a provision is invalid or unenforceable, the remaining part of that provision will remain effective to the maximum extent permitted by law, and the invalid or unenforceable part will be severed or modified to the extent necessary.

25.3 Remaining Terms

25.3.1 The invalidity or unenforceability of any provision of these Terms does not affect the validity or enforceability of any other provision.

26. ENTIRE AGREEMENT AND ORDER OF PRECEDENCE

26.2 Additional Service Terms

26.2.1 A particular Service, feature or programme may be subject to additional terms.

26.2.2 Users must comply with both these Terms and applicable additional terms.

26.3 Order of Precedence

26.3.1 Where an additional term expressly addresses and conflicts with a specific provision of these Terms, the additional term will prevail only to the extent of that specific conflict.

26.3.2 Except to the extent of the specific conflict, these Terms remain in full force and effect.

26.3.3 The Privacy Policy governs the Platform's processing of personal data to the extent it addresses matters specifically relating to privacy and data protection, subject to applicable law.

26.3.4 Where a specific provision of these Terms establishes a separate procedure for changes to a particular Service, programme, feature or other matter, that specific procedure will apply to the extent applicable, subject to applicable law and the provisions of this Section.

26.4 No Waiver

26.4.1 A failure or delay by the Platform to exercise any right or remedy does not constitute a waiver of that right or remedy.

26.4.2 A waiver concerning one breach does not constitute a waiver concerning a later breach.
